Dentons assists insolvency administrator in restructuring Orbisana Healthcare company
Berlin/Frankfurt—The restructuring of Orbisana Healthcare (Orbisana) was guided by Global law firm Dentons on the advice of Christian Plail, the insolvency administrator. Orbisana, an essential player in the medical devices and home care sector and part of the Weltbild Group, found itself in financial distress in 2024. Accumulated liabilities of several million euros resulted in insolvency. Following the insolvency filing on July 17, 2024, the proceedings officially opened on October 1, 2024, at the Augsburg Local Court.
In the subsequent period, the company underwent a comprehensive restructuring and reorganization led by the insolvency administrator and a dedicated team from his legal firm, SGP Schneider Geiwitz. Through a competitive M&A process, Andreas Fahl Medizintechnik-Vertrieb GmbH emerged as the winning bidder. The transaction involved transferring all shares in Orbisana Healthcare GmbH to Andreas Fahl Medizintechnik-Vertrieb GmbH as part of the insolvency plan. This strategic move garnered unanimous approval from creditors on April 10, 2025, leading to the Augsburg Local Court lifting the insolvency proceedings on May 1, 2025.
Headquartered in Troisdorf, North Rhine-Westphalia, Orbisana Healthcare GmbH is a prominent manufacturer of medical devices, medical aids, and home care services. During the insolvency period, Orbisana operated 14 medical supply stores in Germany, with some outlets sold to external parties or closed as part of the M&A process through a carve-out strategy. This operational reconfiguration resulted in the preservation of over 200 jobs out of the initial 400 at the time of insolvency.
The acquisition of Orbisana by Andreas Fahl Medizintechnik-Vertrieb GmbH indicates a strategic expansion of its product and service offerings catering to patients, hospitals, care facilities, and health insurance providers. Dentons played a pivotal role in facilitating the M&A process under the leadership of Berlin partner Dr. Holger Ellers, closely collaborating with the insolvency administrator and his team in formulating and executing the insolvency plan to finalize the transaction structure.
